Having a lawyer "on retainer" means that the client pays a lawyer a fixed monthly fee on a regular basis. In return, the lawyer provides legal advice and services (such as answering a client's questions on legal matters, giving advice on potential legal issues or reviewing and commenting on business contracts) within a previously agreed upon scope - avoiding the delay associated with engagement arrangements and payment of a large retainer or surprise of short interval billing and typically higher hourly fees (as long as the services are within the previously agreed scope).

Endeavor Law provides "on-retainer" or fixed monthly fee billing arrangements to act as outsourced "in-house" counsel in order to smooth out the peaks and troughs of ongoing general business counsel. These retainer arrangements tend to provide the highest degree of transparency and predictability possible for business owners or management who tend to have regular or on-going need (such as publicly-traded issuers or start-ups) for business legal advice or services on a timely basis.

With a fixed monthly fee billing fee arrangement, Endeavor Law can stay connected with a client in order to get to know a client's business and particular legal needs and challenges and better protect the interests of that client's business to help it to grow and mature.

MONTHLY FIXED FEE ARRANGEMENTS

SMALL BUSINESS MONTHLY FIXED FEE BILLING PACKAGES

$1,500.00

per month

Suitable for small business owners either in an expansion phase or managing several brick and mortar businesses, this package provides small business owners with access to affordable legal advice and services with up to six (6) hours per month of business legal consultation, contract review or basic (non-transaction/ non-finance) document drafting services within the scope of services normally provided by Endeavor Law. If monthly allocations are reached Endeavor Law will provide clients with prior notice before hourly rates apply.

Small business fixed fee monthly billing arrangements are available for terms of six or twelve months (and renewable with mutual agreement) and will be set out in an Engagement Agreement at the start of any engagement and will specify the precise scope of the services to be provided and the fees to be applied. Endeavor Law will always discuss a client's potential legal needs and appropriate legal fee arrangements applicable to that client's circumstances and reserves the right to refuse to offer any particular arrangement where such arrangements is suitable to provide a client with proper legal representation. In all circumstances disbursements (such as filing fees, if any), expenses (such as photocopies or couriers, if any) and applicable taxes will be applied separately.

MID-SIZED BUSINESS MONTHLY FIXED FEE BILLING PACKAGES

Suitable for mid-sized established business owners managing a growing start-up or multiple brick and mortar businesses, this package provides mid-sized business owners with access to affordable legal advice and services with up to ten (10) hours per month of business legal consultation, contract review or basic (non-transaction/ non-finance) document drafting services within the scope of services normally provided by Endeavor Law. If monthly allocations are reached Endeavor Law will provide clients with prior notice before hourly rates apply.

Suitable for reporting issuers listed on the TSX Venture Exchange or the Canadian Stock Exchange, this package provides venture reporting issuer management with timely and affordable legal advice and services with up to sixteen (16) hours per month of securities regulation, corporate governance, and continuous disclosure compliance advice and services; business planning and legal advice; continuous disclosure document and contract review or basic (non-transaction/ non-finance) agreement drafting services within the scope of services normally provided by Endeavor Law. If monthly allocations are reached Endeavor Law will provide clients with prior notice before hourly rates apply.

Venture issuer fixed fee monthly billing arrangements are available for terms of six or twelve months (and renewable with mutual agreement) and will be set out in an Engagement Agreement at the start of any engagement and will specify the precise scope of the services to be provided and the fees to be applied. Suitable for reporting issuers listed on the TSX or inter-listed issuers, this package provides more senior reporting issuer management with timely and affordable legal advice and services with up to eighteen (18) hours per month of securities regulation, corporate governance, and continuous disclosure compliance advice and services; business planning and legal advice; continuous disclosure document and contract review or basic (non-transaction/ non-finance) agreement drafting services within the scope of services normally provided by Endeavor Law. If monthly allocations are reached Endeavor Law will provide clients with prior notice before hourly rates apply.

Senior issuer fixed fee monthly billing arrangements are available for twelve month terms only (and renewable with mutual agreement) and will be set out in an Engagement Agreement at the start of any engagement and will specify the precise scope of the services to be provided and the fees to be applied.
